Auto parts manufacturer Sona BLW Precision Forgings Ltd, also known as Sona Comstar, recently addressed allegations made by Rani Kapur, the mother of the late company Chairman Sunjay Kapur. The company firmly denied claims that Rani Kapur was pressured or forced to sign any documents after the unexpected death of her son. This public statement was released after news reports mentioned that Rani had written a letter requesting to postpone the company’s Annual General Meeting (AGM) and claimed she had been coerced into signing papers during a time of grief.
In response, Sona Comstar explained that it had received her letter very late, just on the evening of July 24, only a few hours before the AGM was scheduled to take place the next day. The company stated that it took the request seriously and immediately consulted legal experts. After reviewing her request, the company said it found no legal basis to delay the AGM, especially since Rani Kapur is not a registered shareholder of the company. Therefore, the company decided to move ahead with the meeting on July 25 as originally planned, to stay within the required regulatory timelines.
The company also made it clear that no documents were signed or obtained from Rani Kapur after her son’s death. They stated this openly to counter any suggestion that she was coerced or manipulated during a vulnerable period. The official statement emphasized that Sona Comstar respects Rani Kapur but wanted to correct the public record.
The issue also brings attention to questions about the ownership structure and board decisions following Sunjay Kapur’s death. According to Sona Comstar, the RK Family Trust, of which Sunjay Kapur was the sole beneficial owner, remains a major shareholder in Aureus Investments Pvt Ltd. Aureus owns about 28.02% of Sona Comstar, while the rest — approximately 71.98% — is owned by public investors. The company added that official records show Rani Kapur has not held shares in the company since at least 2019, which further influenced their legal decision-making.
Additionally, the company confirmed that Priya Sachdev Kapur, Sunjay Kapur’s wife, had been appointed to the board as a non-executive director. Her nomination came from Aureus Investments and was thoroughly reviewed and approved by the Nomination and Remuneration Committee. After Sunjay’s passing, the board of directors unanimously appointed Jeffery Mark Overly as the new Chairman of the company on June 23.
Despite the company’s official stance, Rani Kapur expressed concern that there seemed to be a “hostile business environment” forming around her, with an attempt to erase or take over her family’s legacy. She also raised questions about how quickly major leadership changes were made following her son’s passing.
While legal experts have stated that the company followed correct legal procedures in holding the AGM, they also pointed out that ethical concerns, family dynamics, and fiduciary responsibilities could lead to deeper examination. If Rani Kapur decides to take her claims to court or file a complaint with the National Company Law Tribunal (NCLT), the situation could turn into a lengthy and high-profile legal case.
For now, Sona Comstar maintains that it acted within its rights and followed all legal guidelines. In its closing remarks, the company stated that the AGM was conducted on schedule and that it remains fully committed to maintaining the highest standards of corporate governance and transparency as required by law.
